Eusébio-CE, January 29, 2018 – M. DIAS BRANCO S.A. INDÚSTRIA E COMÉRCIO DE ALIMENTOS (“Company”), pursuant to Paragraph 4 of Article 157 of Law 6.404/76 and CVM Instruction 358/02, hereby announces to its shareholders and to the market in general that the Board of Directors of the Company has resolved, on an extraordinary meeting held on April 19, 2018, to establish an Investigation Committee to ascertain the facts that led to the enforcement, on April 10, 2018, of the court order of searchand-seize on the Company‘s headquarter rendered by Judge Dr. Minister Edson Fachin, in the Records of Injunction Proceeding 4.380.
The Investigation Committee will start its activities as soon as possible and will work as an independent body, reporting to the Company‘s Board of Directors and may be advised by one or more law firms to ensure that the investigations are duly carried out by qualified and experienced professionals.
The said committee, as resolved at the same meeting, will have the following members: (i) Leonardo Porciúncula Gomes Pereira, who was assigned as coordinator; (ii) Affonso Celso Pastore (independent member of the Company‘s Board of Directors); (iii) Fernando Fontes Iunes (independent member of the Company‘s Board of Directors, elected by the ASM held on April 12, 2018); and (iv) Otavio Yazbek.
Finally, M. Dias Branco is committed to keeping the market up to date on the development of the work of the Investigation Committee, in compliance with the applicable law and regulations.
