Eusébio-CE, May 16, 2018 – M. DIAS BRANCO S.A. INDÚSTRIA E COMÉRCIO DE ALIMENTOS (“M. Dias Branco”), pursuant to paragraph 4 of article 157 of Law 6,404/76 and CVM Instruction 358/02 and further to the Material Facts dated January 29, 2018 and April 4, 2018, hereby informs its shareholders and the market in general that the acquisition of one hundred percent (100%) of the shares of Indústria de Produtos Alimentícios Piraquê S.A. (“Piraquê”) was completed on May 16, 2018.
The transaction was ratified by the Extraordinary Shareholders’ Meeting of M. Dias Branco held on April 12, 2018, and all conditions precedent for the completion of the acquisition have been fulfilled, including approval by the Brazilian Antitrust Authority (CADE).
Upon completion of this phase of the transaction, M. Dias Branco reiterates its commitment to creating long-term value for its shareholders, since the acquisition represents an excellent strategic opportunity to accelerate its growth in Brazil’s South and Southeast regions and include higher value-added products in its portfolio.
